Terms of Use

These Terms of Use (“Terms”) govern your access to and use of Vertex Health (“the App”), developed by Octo8 (“we”, “us”, “our”). By downloading, installing, or using the App, you agree to these Terms.

1. Acceptance of Terms

By using the App, you confirm that you are at least 13 years old and agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

2. Description of Service

Vertex Health is a health tracking application that reads data from Apple HealthKit to provide health metrics visualization, analytics, a Health Score, widgets, and insights. The App is available in both free and premium subscription tiers.

3. Subscriptions

Vertex Health offers auto-renewing subscription plans:

Monthly: Billed monthly with a 7-day free trial for first-time subscribers.
Yearly: Billed annually at a discounted rate.

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. Payment is charged to your Apple ID account at confirmation of purchase. You can manage and cancel your subscriptions by going to Settings > Apple ID > Subscriptions on your device.

Free trial eligibility is determined by Apple and is available to new subscribers only. If you cancel during the free trial period, you will not be charged.

4. Health Disclaimer

Vertex Health is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease or health condition. The information provided by the App is for general informational and wellness purposes only.

The Health Score, analytics, AI insights, and all other data presented in the App should not be used as a substitute for professional medical advice, diagnosis, or treatment. Always consult with a qualified healthcare provider regarding any health concerns or before making changes to your health regimen.

We do not guarantee the accuracy, completeness, or reliability of any health data displayed in the App, as this data originates from HealthKit and connected devices.

5. Intellectual Property

All content, features, functionality, design, code, graphics, logos, and trademarks of Vertex Health and Octo8 are the exclusive property of Octo8 and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.

6. Acceptable Use

You agree not to:

Reverse-engineer, decompile, or disassemble the App
Attempt to gain unauthorized access to any systems related to the App
Use the App for any unlawful purpose
Redistribute, sublicense, or resell the App

7. Limitation of Liability

To the maximum extent permitted by applicable law, Octo8 and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the App, including but not limited to:

Any health decisions made based on information provided by the App
Loss of data or interruption of service
Inaccuracies in health data from HealthKit or connected devices
Inability to access premium features due to subscription issues

Our total liability for any claim arising from the use of the App shall not exceed the amount you paid for the App in the twelve (12) months preceding the claim.

8. Warranty Disclaimer

The App is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms within the App or on our website. Your continued use of the App after changes constitutes acceptance of the revised Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law provisions.
